Trivivo End User License Agreement (EULA)

This End User License Agreement (“Agreement”) is a legal agreement between you (“User” or “You”) and TSRB Systems, LLC (“Trivivo,” “We,” “Our,” or “Us”) regarding your use of the Trivivo software and related services (“Software” or “Service”). By installing, accessing, or using the Software, You agree to be bound by this Agreement. If You do not agree, do not install, access, or use the Software. Trivivo is a software product licensed and operated by TSRB Systems, LLC.
1. License Grant
Subject to Your compliance with this Agreement and payment of applicable subscription fees, Trivivo grants You a non-exclusive, non-transferable, revocable license to access and use the Software solely for Your personal or business use during the term of Your active subscription.
2. Subscription & Payment
Access to the Software requires an active, paid subscription.
Subscriptions are billed on a recurring basis (monthly or annually, depending on Your selection) until canceled.
Fees are non-refundable except as required by law.
Trivivo may change subscription fees with advance notice. Continued use of the Service after such notice constitutes acceptance of the new fees.
3. Restrictions
You may not:
a) Copy, modify, reverse-engineer, decompile, or disassemble the Software, except as expressly permitted by law.
b) Rent, lease, sell, sublicense, or otherwise transfer Your rights under this Agreement.
c) Use the Software in any unlawful manner, or to infringe the rights of others.
d) Circumvent or attempt to bypass any security or usage limitations of the Software.
4. Ownership & Intellectual Property
The Software is licensed, not sold. Trivivo retains all right, title, and interest in and to the Software, including all intellectual property rights. You receive no ownership rights.
5. Data & Privacy
You retain ownership of content and data You input into the Software.
By using the Software, You grant Trivivo a limited license to process, store, and transmit Your data solely for the purpose of providing the Service.
Trivivo’s collection and use of personal information is governed by its Privacy Policy.
6. Updates & Support
Trivivo may provide updates, enhancements, or modifications to the Software, which shall be subject to this Agreement.
Support services may be offered at Trivivo’s discretion and according to Your subscription plan.
7. Termination
This Agreement remains in effect until terminated.
You may terminate at any time by canceling Your subscription and ceasing use of the Software.
Trivivo may suspend or terminate this Agreement immediately if You fail to comply with any term of this Agreement, or if subscription fees are unpaid.
Upon termination, You must stop using the Software and uninstall/delete all copies.
8. Disclaimer of Warranties
The Software is provided “as is” and “as available.” Trivivo makes no warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.
9. Limitation of Liability
To the maximum extent permitted by law, Trivivo shall not be liable for any indirect, incidental, consequential, or punitive damages, or loss of data, profits, or business opportunities, arising out of or related to Your use of the Software. Trivivo’s total liability shall not exceed the amount You paid for the Service in the twelve (12) months preceding the claim.
10. Governing Law
This Agreement shall be governed by and construed under the laws of the State of Florida, USA, without regard to its conflict of laws principles.
11. Changes to Agreement
Trivivo may modify this Agreement at any time. If material changes are made, notice will be provided. Continued use of the Software after changes become effective constitutes acceptance.
12. Entire Agreement
This Agreement, together with the Privacy Policy, constitutes the entire agreement between You and Trivivo regarding the Software, and supersedes all prior agreements or understandings.
